Situation:
Metaltech is a manufacturer of powdered metal parts to customer specifications. The Company’s customer base includes manufacturers in a variety of industries including automotive, industrial controls, consumer appliances, construction equipment, and commercial power tools. The Company produces parts made of iron, bronze, and other powdered metals. Products include washers, bushings, fasteners, and highly engineered parts. 

Ameridan’s Role:
DuPenn, Inc., Metaltech’s parent company, engaged Ameridan to assist DuPenn in analyzing its strategic options and to effect a value-maximizing divesture of several business units including Metaltech.

Ameridan orchestrated the overall business sale process which included: (1) assessing, structuring and presenting confidential Company information, including the adjustment, analysis, and presentation of historical financial data to be used in the valuation of the Company; (2) identification and contacting of potential acquirers; (3) assisting management in developing and presenting appropriate business plans and financial forecasts; and (4) advising DuPenn on various transaction proposals received.

The engagement was successfully completed when Metaltech was sold to the management team and UPS Capital.
